1. Agreement to Terms

Welcome to WuHu. These Terms of Service ("Terms") constitute a legally binding agreement between you and Wilsons Holdings LLC ("Company," "we," "us," or "our") regarding your access to and use of the WuHu mobile application, website, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

WuHu is a habit-building and productivity application featuring Nobu, an AI companion that provides personalized guidance, reminders, and adaptive routines. The Service includes task management, habit tracking, goal setting, and related features designed to help users build lasting habits.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the rights of others, including intellectual property rights
• Transmit harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect or harvest information about other users without consent
• Use automated systems (bots, scrapers) without our permission
• Reverse engineer, decompile, or disassemble any part of the Service

6. Subscription and Payment

6.1 Subscription Plans

WuHu offers various subscription plans (Free Preview, Premium, Teams). Subscription fees, features, and terms are described on our pricing page. All fees are in U.S. dollars unless otherwise stated.

6.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all fees. If payment fails, we may suspend or terminate your access.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law or at our sole discretion.

6.4 Free Trial

We may offer a free trial period. If you do not cancel before the trial ends, you will be charged for the subscription. We reserve the right to modify or discontinue free trials at any time.

7. Intellectual Property

7.1 Our Rights

The Service, including all content, features, functionality, software, code, designs, graphics, and trademarks, is owned by Wilsons Holdings LLC and protected by copyright, trademark, and other intellectual property laws. "WuHu" and "Nobu" are trademarks of Wilsons Holdings LLC.

7.2 Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

7.3 User Content

You retain ownership of content you submit to the Service (tasks, habits, goals, notes). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely to provide and improve the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
• THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• THAT DEFECTS WILL BE CORRECTED

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WILSONS HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wilsons Holdings LLC and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any rights of another.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law. You and we agree to waive any right to a jury trial or to participate in a class action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that should survive termination shall remain in effect.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms at any time.
• No Third-Party Beneficiaries: These Terms do not create rights for third parties.
